Terms and Conditions

§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts between NOMAD Configurator (hereinafter "Provider") and the Customer regarding the use of the SaaS platform NOMAD Configurator.
Deviating terms and conditions of the Customer are not recognized unless the Provider expressly agrees to their validity in writing.
§ 2 Conclusion of Contract
The presentation of services on the website does not constitute a legally binding offer, but a non-binding invitation to place an order.
By registering and ordering, the Customer submits a binding offer to conclude a contract.
The contract is concluded when the Provider accepts the offer by sending an order confirmation by email or by activating the customer account.
§ 3 Service Description
The Provider provides the Customer with a web-based SaaS platform for vehicle configuration. The scope of services includes:
- Use of the online configurator
- Management of customers, dealers and inquiries
- Creation of offer documents
- Technical support according to selected plan
The exact scope of services results from the respective service description and the selected plan.
§ 4 Customer Obligations
The Customer undertakes to:
- Provide truthful and complete information during registration
- Keep access data secret and protect it from third-party access
- Use the platform only for lawful purposes
- Perform own data backups
§ 5 Prices and Conditions
The current prices result from the Provider's price list at the time of contract conclusion.
All prices are in euros and plus statutory VAT.
The Provider reserves the right to adjust prices with a notice period of 30 days for the next contract period.
§ 6 Payment
Invoicing is done monthly or annually in advance, depending on the selected plan.
Invoices are due within 14 days of invoicing without deduction. In case of payment default, the Provider is entitled to block access to the platform.
§ 7 Contract Duration and Termination
The contract is concluded for an indefinite period unless otherwise agreed.
The contract can be terminated by either party with one month's notice to the end of the month.
The right to extraordinary termination for good cause remains unaffected.
§ 8 Liability
The Provider is fully liable for damages resulting from injury to life, body or health as well as for damages caused intentionally or through gross negligence.
For damages caused by slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the typically foreseeable damage.
Liability for data loss is limited to the typical restoration effort that would have occurred with regular and risk-appropriate creation of backup copies.
§ 9 Data Protection
The Provider processes personal data of the Customer in accordance with the privacy policy and applicable data protection laws. If required, a data processing agreement in accordance with Art. 28 GDPR will be concluded.
§ 10 Confidentiality
Both parties undertake to keep all confidential information of the other party obtained in the course of the contractual relationship secret and to use it only for the purposes of the contract.
§ 11 Changes to the GTC
The Provider reserves the right to change these GTC at any time. Changes will be communicated to the Customer at least 30 days before they come into effect. If the Customer does not object within 30 days of receipt of the change notification, the new GTC shall be deemed accepted.
§ 12 Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction for all disputes arising from this contract is the registered office of the Provider, provided that the Customer is a merchant.
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
